On October 26, 2015; At 11 a.m. on the first call and at 11:30 a.m. on the second call, the Executive Committee of the Cádiz Free Zone Consortium must meet at its Headquarters, to meet, deliberate and adopt agreements on the matters contemplated in the following Agenda:
FIRST.- Reading and approval, if applicable, of draft minutes of the sessions dated June 26 and 30, 2015 and July 24, 2015.
SECOND.- Aprobación de la modificación de la composición de la Mesa de Contratación Permanente del Consorcio de la Zona Franca de Cádiz y su publicación en el Boletín Oficial del Estado. Delegación de facultades en el Presidente del Comité Ejecutivo y Delegado del Estado para la firma de cuantos actos y contratos, públicos y privados, sean necesarios en ejecución de lo acordado.
THIRD.- Decisions to be adopted by the Executive Committee as sole member acting in the General Meeting of DESARROLLOS EMPRESARIALES DE LA ZONA FRANCA DE CÁDIZ, S.A.U. (DEZF):
Primero.- Nombramiento de vocales representantes del Estado y Ayuntamiento en el Comité Ejecutivo como consejeros de la sociedad.
Segundo.- Modificación artículo 27 de los Estatutos sociales para adaptarlo a la nueva Ley de Sociedades de Capital.
Third.- Granting of powers for the execution of the agreements adopted and registration in the Commercial Registry.
Fourth.- Reading and approval, if applicable, of the session minutes.
ROOM.- Award of Works File for the execution of the ADAPTATION PROJECT OF SHIP 28 IN BLOCK ID-3 OF ROTA AS A BUSINESS CENTER (CEEI). Contracting financed by Funds requested within the Framework of the FEDER Operational Program of Andalusia 2007-2013″. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
QUINTO.- Approval of the tender file for the contracting of the cleaning service in the buildings, facilities and urbanization of the Cádiz Free Trade Zone Consortium in the Interior Precinct and North End of the Carranza Building in an environmentally respectful manner. For a period of two years starting January 1, 2016, with the possibility of two annual extensions. File CA-0259-2015-00-A. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
SIXTH.- Approval of the tender file for the contracting of communications services that integrate fixed and mobile telephony, Virtual Private Network data links and corporate Internet access between the headquarters and work centers of the Cádiz Free Zone Consortium and its Group of companies. For a period of four years starting on March 1, 2016. File CA-0385-2015-00-A. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
SEVENTH.- Approval of the tender file for the contracting of works in facilities of the Algeciras Free Warehouse. File CO-0427-2015-00-A. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
OCTAVO.- Aprobación de expediente de licitación para la contratación de obras de rehabilitación en el Edificio Atlas del Recinto Interior de la Zona Franca de Cádiz. Expediente CO-0426-2015-00-A. Delegación de facultades en el Presidente del Comité Ejecutivo y Delegado del Estado para la firma de cuantos actos y contratos, públicos y privados, sean necesarios en ejecución de lo acordado.
NINTH.- Approval of conventional and non-conventional modifications of the works contract necessary for the execution of the "EXECUTIVE PROJECT FOR THE CONSTRUCTION OF SILOS FOR STORAGE, MIXING AND BULK LOADING OF FLOUR. Contracting financed by Funds requested within the Framework of the FEDER Operational Program of Andalusia 2007-2013". File CO-0122-2014-00-A. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
TENTH.- Aprobación de modificaciones no convencionales del contrato de Obras necesarias para la ejecución del PROYECTO denominado “EDIFICIO ADMINISTRATIVO EN PARCELA DE EQUIPAMIENTOS EN LA U.E.-2 DEL S.A.U.11 “BUENAVISTA I”, VEJER DE LA FRONTERA, CADIZ”, redactado por el arquitecto Manuel Quijano Vallejo. Obras financiadas por Fondos solicitados en el marco del Programa Operativo FEDER de Andalucía 2007-2013. Expediente CO-0080-2014-00-A. Delegación de facultades en el Presidente del Comité Ejecutivo y Delegado del Estado para la firma de cuantos actos y contratos, públicos y privados, sean necesarios en ejecución de lo acordado.
ELEVENTH.- Modificación de la concesión para la gestión de las instalaciones y el dominio público portuario, en el Muelle de Isla Verde, con destino a actividades relacionadas con el Depósito Franco.
TWELFTH.- Informe sobre firma de Convenio con la Autoridad Portuaria de la Bahía de Cádiz para la utilización de una parcela de 11.819,45 metros cuadrados, situada en el Puerto de la Zona Franca de Cádiz.
THIRTEENTH.- Authorization for the renewal of the credit account to be subscribed with BANKIA for an amount of 5,220,000 euros. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed; as well as to subscribe to successive extensions agreed with the financial institution.
FOURTEENTH.- Autorización para la formalización de operaciones de préstamo con Caja Rural del Sur, para la financiación de la adquisición de activos de Parques Logísticos del Sur, S.L. en Fresno Sur, (Los Barrios), con garantía hipotecaria sobre concesión administrativa y pignoración de rentas de arrendamiento. Delegación de facultades en el Presidente del Comité Ejecutivo y Delegado del Estado para la firma de cuantos actos y contratos, públicos y privados, sean necesarios en ejecución de lo acordado.
FIFTEENTH.- Resolución dando por finalizada la liquidación por mutuo acuerdo derivada de los contratos suscritos con LENCO, INGENIEROS Y ECONOMISTAS, S.R.L., prosiguiendo como liquidación unilateral.
