On February 9, 2015; At 9:30 a.m. on the first call and at 10 a.m. on the second call, the Executive Committee of the Cádiz Free Zone Consortium must meet at its Headquarters, to meet, deliberate and adopt agreements on the matters contemplated in the following Agenda:
FIRST.- Reading and approval, if applicable, of the draft minutes of the session dated December 22, 2014.
SECOND.- Authorization for the acquisition from Parques Logísticos del Sur, S.L. of the facilities and properties located on land under a concession regime granted by the Public Agency of Ports of Andalusia and formalization of the Addendum to the Agreement signed with the aforementioned Agency, dated September 18, 2014. Operation conditional on the existence of credit. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in the execution of the agreement, reaching the delegation of powers to approve the appraisal commissioned for the valuation of the facilities and properties to be acquired from Parques Logísticos del Sur, S.L.
THIRD.- Authorization for the acquisition of land and facilities owned by ALTADIS, S.A. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
FOURTH.- Award of File CO-0110-2014-00-A.- Works necessary for the execution of PHASE I of the “BASIC PROJECT AND EXECUTION OF A MULTIFUNCTIONAL BUILDING ON PLOT C-1 OF THE “EL PERAL” INDUSTRIAL ESTATE” BORDER ARCHES. CADIZ. Contracting financed by Funds requested within the Framework of the FEDER Operational Program of Andalusia 2007-2013.” Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
FIFTH.- Adjudication of Administrative File CO-0104-2014-00-A. "Contracting of the execution works corresponding to the Project to adapt warehouses 17A and 17B of the Interior Precinct of the Free Zone as a storage area for sanitary material. Project financed with the FEDER Andalusia Operational Program 2007-2013.” Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
SEXTO.- Autorización de Expediente de Obras para la ejecución del “"PROYECTO DE ADAPTACION DE LOCALES A CENTRO DE NEGOCIOS COMPLEJO COMERCIAL “HIGINIO”.- AVENIDA DE LOS DESCUBRIMIENTOS / CALLE FERNANDO DE MAGALLANES POLIGONO INDUSTRIAL EL TORNO IIURBISUR. CHICLANA DE LA FRONTERA, CADIZ. Contratación financiada por Fondos solicitados en el Marco del Programa Operativo FEDER de Andalucía 2007-2013". Delegación de facultades en el Presidente del Comité Ejecutivo y Delegado del Estado para la firma de cuantos actos y contratos, públicos y privados, sean necesarios en ejecución de lo acordado.
SEVENTH.- Authorization for the termination of the lease contracts signed with the company CARBURES. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
EIGHTH.- Authorization to formalize the Declaration of New Construction of a Warehouse and Office Building for a Logistics Operator in Las Salinas Commercial Park (El Puerto de Santa María); as well as authorization for the contracting of a financial product with a mortgage guarantee and pledge of income with the financial entity BANKINTER. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
NINTH.- Report and decisions to be adopted on the Resolution of the Economic-Administrative Court of Andalusia on the matter of the Algeciras Free Warehouse. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
TENTH.- Authorization for the modification of the economic conditions corresponding to the impact of the fee for the investment made by the Cádiz Free Zone Consortium in the Algeciras Free Warehouse, with effect from January 1, 2014, to Desarrollos Empresariales de la Zona Franca de Cádiz, S.A., current manager of the Free Warehouse and to DALSE when its activity begins in the facilities. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
ELEVENTH.- Authorization for early cancellation of the lease contract, without penalty, requested by Juan José Moguel (lessee of module P-13 B of Heracles); OMICRÓN AMEPRO (lessee of module 16-B of the Atlas Building) and Teyp Ingeniería (lessee of module P-09-B of the Heracles Building). Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
TWELFTH.- Authorization for the creation of two personal data files: Document entry and exit registration file and web user file. Publication in the BOP, and subsequent registration in the Data Protection Agency. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
THIRTEENTH.- Ratification of allegations to the General Plan of Los Barrios (El Fresno).
FOURTEENTH.- Agreements to be adopted by the Consortium in Plenary, pursuant to the provisions of article 9 of its Statutes:
14.1.- Approval of rates for the fiscal year 2015 and 2016.
14.2.- Approval of the Accounts of the Cádiz Free Zone Consortium corresponding to the 2013 financial year.
14.3.- Approval of the Consolidated Accounts of the Zona Franca de Cádiz Group corresponding to the financial year 2013.
14.4.- Authorization for the transformation of part of the drawn balance of the line of credit between Desarrollos Empresariales de la Zona Franca de Cádiz, S.A. (DEZF) and the Marismas del Palmones Business and Technology Park, S.A. (TECPAL) and subsequent extension of the new limit of the remaining part of the credit line.
14.5.- Authorization for the modification of the budgets approved for the 2015 financial year. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what was agreed.
14.6.- Authorization for the expansion of the Tax Precinct in Cádiz and Los Barrios (Cádiz). Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
FIFTEENTH.- Modification of conditions in the lease and lease contracts with purchase option of industrial warehouses in the El Olivar Industrial Park in Barbate. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
