On July 17, 2014, at 11:30 a.m. on second call, the Executive Committee of the Cádiz Free Zone Consortium met at its Headquarters, to learn about, deliberate and adopt agreements on the matters contemplated in the following Agenda:
FIRST.- Reading and approval, if applicable, of the minutes of the Executive Committee sessions of March 13, 25 and 31, 2014 and April 11 and 25, 2014.
SECOND.- Report on the request made by Mr. Osuna Molina.
THIRD.- Agreements to be adopted by the Consortium in Plenary, pursuant to the provisions of article 9 of its Statutes:
3.1.- Dismissal and appointment of representative of the Hon. Cádiz City Council at the Plenary Session of the Cádiz Free Trade Zone Consortium.
3.2.- Supervision of agreements of the Executive Committee.
3.3.- Authorization for the constitution of a mortgage guarantee on the Europa Building for the formalization of a loan with Banco Santander.
3.4.- Authorization to extend the limit of the credit line between Desarrollos Empresariales de la Zona Franca de Cádiz SAU (DEZF) and Parque Empresarial y Tecnológico de las Marismas del Palmones SA (TECPAL).
3.5.- 2015 Budget Approval.
3.6.- Report on the liquidation processes of RILCO and QUALITY SERVICE.
3.7.- Authorization to set new rent for Hormigones Mar de Chiclana.
3.8.- Adaptation of the system of distribution of powers of CZFC bodies to the new additional provision 23ª of the Heritage Law.
3.9.- Report on lease contract with PRODUCTOS CONGELADOS DEL SUR, S.A. (PROCOSUR)
ROOM.- Report on the financial restructuring procedure of the Consortium.
QUINTO.- Report on Asset Disposal Plan to cancel bank debt.
SIXTH.- Report on Reindustrialization Order for 2014.
SEVENTH.- Determination of the investment made in the Algeciras Free Warehouse as a project financeable with European funds.
OCTAVO.- Acceptance of the renewal of the appointment of the Cádiz Free Zone Consortium to occupy the position of Vice President of the Board of Trustees of the
Bahía de Cádiz Foundation for Economic Development (CEEI). Appointment of the Special Delegate of the State and President of the Executive Committee of the Consortium to represent the Entity in said position, represented by the natural person Mr. Jorge Ramos Aznar and the General Director, Mr. José Manuel Fedriani Castro, as substitute representative in the absence of that, granting them the power to sign all documents and make decisions that the exercise of their functions entails. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
NINTH.- Decisions to be adopted by the Executive Committee acting as sole partner of “RED IBEROAMERICANA DE LOGÍSTICA Y COMERCIO S.A.U. IN
SETTLEMENT” (RILCO):
First.- Examination and approval, where appropriate, of the initial and final liquidation balance and the report on liquidation operations.
Second.- Examination and approval, if applicable, of the management and operations carried out by the Liquidator.
Third.- Requests and Questions.
Fourth.- Granting of powers for the execution and development of each and every one of the agreements adopted and, in general, to carry out as many procedures and actions as are necessary for their presentation and registration in the Commercial Registry, as well as for the cancellation of the seats of the company in it.
Fifth.- Reading and approval, if applicable, of the session minutes.
TENTH.- Report on the liquidation of the company Quality Service Gestión de Servicios Integrales, S.A. in liquidation.
ELEVENTH.- Report on the liquidation of the company Depósito Franco de Algeciras, S.L. in Liquidation.
TWELFTH.- Authorization for the inclusion of a fourth mathematical formula option in the models of administrative clauses approved in the Executive Committee session of April 25, 2014.
THIRTEENTH.- Delegation of powers to extend contracts in which the contracting body is the Executive Committee.
FOURTEENTH.- Authorization for the signing of agreements with the City Council of Cádiz and the Casino Gaditano, conditional on the existence of credit.
Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
FIFTEENTH.- Authorization to modify the lease contract signed with Mr. Juan José Rodríguez Parra of premises no.º 6 of Nave 7 of the Exterior Enclosure. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
SIXTEENTH.- Authorization to modify the lease contract signed with Added Value Tuna Service, S.L. of warehouse 21 of the Interior Precinct of the Free Trade Zone. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
SEVENTEENTH.- Authorization for the modification of the contract to Aeronáutica de Utilaje Internacional, S.L. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in the execution of what has been agreed.
EIGHTEENTH.- Authorization to modify the lease contract of Gyocivil-Limpiasol UTE, of warehouse 2-A of the Interior Campus. Delegation of
powers in the President of the Executive Committee and Delegate of the State to sign any acts and contracts, public and private, that are necessary in the execution of what has been agreed.
NINETEENTH.- Authorization to modify the lease contract signed with Mr. Francisco Gañete García (TALLERES LEMANS) of premises no.º 1 of Nave 7 of the Exterior Enclosure. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
TWENTIETH.- Authorization for the early cancellation of the contract for module P-12 of the Heracles Building leased by Desarrollos Empresariales de la Zona Franca de Cádiz. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
TWENTY-FIRST.- Authorization for the early cancellation of the contract of the Venerable and Royal Archconfraternity of Our Lady of Pilar of Zaragoza, Nuestro Padre Jesús de las Penas and María Santísima de la Caridad. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in the execution of what has been agreed.
TWENTY-SECOND.- Authorization for the early cancellation of the contract of Dproyectos, Estudio de Arquitectura y Urbanismo, S.L. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.

TWENTY-FOURTH.- Authorization to access the Tax Agency's request for express waiver of the exercise of the option to purchase a property

twenty-fifth.- Acquisition of a warehouse owned by Mr. Raúl Silva on Algeciras Street. Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in execution of what was agreed.
twenty-six.- Approval of sales prices and approval of the specific marketing conditions of commercial premises 1-I and 2-I in the
“Las Salinas” business complex” in the Port of Santa Maria. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
Twenty-seventh.- Approval of prices and particular conditions of sale of Plots in the “El Olivar” Industrial Estate” in Barbate. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
TWENTY-EIGHT.- Ratification of allegations and appeal for reconsideration filed against the Settlement of the Resource provided for in Royal Legislative Decree 1/1999, as well as ratification of economic-administrative claims before the Regional Economic-Administrative Court of Andalusia (TEARA). Delegation of powers to the President of the Executive Committee and State Delegate for the signing of all acts and contracts, public and private, that are necessary in order to continue the procedure until its completion.
TWENTY-NINE.- Authorization for formalization with the company Harinera Vilafranquina, S.A. of lease contracts for the plot and future Nave-Silo in the Interior Precinct of the Free Trade Zone of Cádiz. Delegation of powers to the President of the Executive Committee and Delegate of the State for the signing of all acts and contracts, public and private, that are necessary in execution of what has been agreed.
